Terms of Service

1. Definitions

To ensure clarity, the following terms are defined as follows:

"Service": Collectively refers to the Tidy Tiger browser extensions, cloud-based scanning tools, websites (including trytidytiger.com), and any related applications provided by us.

"Software": The underlying code, scripts, and technology that power the Service, including downloadable extensions and server-side processing engines.

"Content": Any data, text, metadata, images, or other information uploaded, processed, or transmitted through the Service.

"User" (or "you"): Any individual or entity accessing or using the Service.

"Affiliate": Any entity authorized by Tidy Tiger to redistribute or promote the Service.

2. Scope & Acceptance

These Terms of Service ("Terms") constitute a binding agreement between Tidy Tiger LLC ("Tidy Tiger," "we," or "us") and you. By accessing or using the Service, you agree to be bound by these Terms.

Modification of Terms: We may modify these Terms at any time. If we make material changes, we will provide notice (e.g., via email or a dashboard notification) before the changes take effect. Your continued use of the Service after such changes constitutes acceptance. Changes will not apply retroactively to disputes that arose before the effective date of the updated Terms.

3. Account Registration & Security

Accuracy: You agree to provide accurate and current registration information and to keep it updated.

Security: You are responsible for safeguarding your account credentials. While Tidy Tiger employs reasonable security measures to protect your account, you are solely responsible for any activity that occurs under your account.

Notification: You must notify us immediately of any unauthorized use of your account.

4. Fees, Payment & Subscriptions

A. Billing & Stripe:

We use third-party payment processors (e.g., Stripe) to handle transactions. By purchasing a subscription or service, you authorize us to charge your payment method on file. Recurring subscriptions will auto-renew at the end of each billing cycle until you cancel. Renewal dates are visible in your account settings.

B. Subscription Tiers:

Freemium: We may offer limited features for free. We reserve the right to modify the scope of free features at any time.

Paid Subscriptions: Monthly or Annual plans unlock premium features. These are billed in advance.

À La Carte Scans: You may purchase one-time scans. Note: Some à la carte purchases may include complimentary access to the Tidy Tiger Extension for a limited period (e.g., one year). Unless canceled prior to the end of this period, these may automatically convert into a paid recurring subscription at the then-current rate. Any auto-conversion into a paid subscription will be clearly disclosed at the time of purchase.

C. Pricing & Taxes:

Pricing Changes: We reserve the right to change pricing. You will be notified of any material price increases before your next renewal. The price applied at checkout is final for that specific transaction.

Regional Pricing: We may offer regional pricing or multiple currencies. You are responsible for all applicable taxes (VAT, GST, Sales Tax) and any foreign exchange (FX) fees charged by your bank.

D. Refunds & Cancellation:

Non-Refundable: All payments are non-refundable unless required by applicable law.

Cancellation: You may cancel your subscription at any time via your account settings. Cancellation stops future auto-renewals but does not trigger a refund for the current billing period.

5. License & Intellectual Property

Tidy Tiger Ownership: Tidy Tiger LLC owns all rights, title, and interest in the Service, Software, and branding. These are protected by copyright, trademark, and other laws.

Your License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business purposes.

User Content License: You retain ownership of your data. However, you grant Tidy Tiger a limited license to access, process, and display your Content solely as necessary to provide and improve the Service.

6. User Conduct

You agree not to use the Service to:

• Transmit illegal, harmful, or abusive Content.
• Reverse engineer, copy, or attempt to extract the source code of the Software.
• Send spam or unauthorized commercial communications.
• Use the Service in violation of your email provider's policies or to send unsolicited or bulk communications.
• Interfere with or disrupt the integrity or performance of the Service.

7. Promotions & Affiliates

Promotions: We may offer time-limited or regional promotions. These are subject to additional terms specified at the time of the offer and may be modified or ended at our discretion.

Affiliates: Affiliates authorized to redistribute the Service must adhere to all Tidy Tiger guidelines and may not misrepresent the Service or its capabilities.

8. Privacy

Your use of the Service is governed by our Privacy Policy, which describes how we handle your data. By using the Service, you consent to the data practices described therein.

9. Termination

By User: You may stop using the Service at any time.

By Tidy Tiger: We may suspend or terminate your access immediately if you breach these Terms or if we are required to do so by law.

Post-Termination: After termination, access to the Service ends, and we may delete or anonymize your Content in accordance with our Privacy Policy.

10. Disclaimers & Limitation of Liability

The Service is provided "AS IS" and "AS AVAILABLE." Tidy Tiger makes no warranties, express or implied, regarding uptime, accuracy, or suitability for a particular purpose.

Limitation: To the maximum extent permitted by law, Tidy Tiger LLC shall not be liable for indirect, incidental, or consequential damages (including data loss). Our total liability shall not exceed the amount you paid us in the last 12 months.

Legal Rights: Nothing in this limitation of liability excludes liability that cannot be excluded under applicable law.

11. Dispute Resolution & Class Action Waiver

PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS.

Arbitration: Except for claims that qualify for small-claims court or for the limited purpose of enforcing an arbitration award or seeking injunctive relief, all disputes arising out of or relating to these Terms or the Service shall be resolved through final and binding arbitration conducted by the American Arbitration Association (AAA) under its commercial rules, rather than in court.

Class Action Waiver: You and Tidy Tiger agree that any proceedings to resolve a dispute will be conducted solely on an individual basis and not in a class, consolidated, or representative action.

Opt-Out: Either party may opt out of this arbitration clause within 30 days of first accepting these Terms by emailing legal@trytidytiger.com with the subject "Arbitration Opt-Out." The opt-out will not affect prior agreements.

12. General Provisions

Assignment: Tidy Tiger may assign these Terms, in whole or in part, without restriction (e.g., in a merger or sale). You may not assign these Terms without our written consent.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.

Force Majeure: We are not liable for delays caused by events beyond our reasonable control (e.g., natural disasters, internet failures).

No Third-Party Beneficiaries: These Terms are between you and Tidy Tiger. No other person has any rights to enforce these Terms.

Waiver: Our failure to enforce any part of these Terms does not constitute a waiver of our right to do so later.

13. Jurisdiction

Subject to the arbitration provisions in Section 11, these Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.

Note for International Users: If you are a consumer residing outside the United States, you may retain certain mandatory rights under the laws of your country of residence.
